Terms of Use

1. About these terms

TeamArc is a coaching app by Semperity. It is operated by Semperity LLC, a Utah limited liability company (“Semperity”, “we”, “us”). These terms are an agreement between you and Semperity LLC about your use of the TeamArc app, the TeamArc website, and the links and emails TeamArc sends (together, “TeamArc”).

If you start a team, you accept these terms by ticking the box in the app. Anyone else who uses TeamArc accepts them by using it. Our Privacy Policy explains what information we handle and how; please read it too.

2. Who can use TeamArc

• Coaches. To start or run a team you must be at least 18 and a coach or administrator for that team.
• Family members. Parents, guardians and other family members use TeamArc when a coach invites them.
• Players. A player can have their own sign-in only by invitation from us, and only after a parent or guardian confirms to us in writing that the player is 13 or older. We don’t give a sign-in to anyone we know is under 13.
• If you’re under 18, your parent or guardian must agree to these terms for you, and is responsible for your use of TeamArc.

3. Your account

Coaches sign in with their email address: TeamArc emails a one-time code instead of using a password. Because of that, anyone who can read your email can sign in as you, so keep your email account secure. Each account is for one person. You’re responsible for what happens in your account. If you lose a phone that is signed in, or think someone else has used your account, email support@getteamarc.com and we’ll sign that device out.

4. What you add, and your permission to add it

Coaches add information about players and their families: names, contact details, notes, goals, plans and schedules. Many players are children. When you add that information, you promise us that:

• you are the player’s coach or a team administrator, and you have your club’s or organization’s permission (where it’s needed) to use TeamArc for the team;
• you have any permission or consent the law, your club or your league requires to add the players’ and family members’ information, and the families know you use TeamArc for the team;
• you add information only for coaching and running the team, and you keep it accurate as far as you reasonably can;
• you don’t add information TeamArc isn’t built for, such as medical or health details, government ID numbers, or financial information; and
• before you add a family member’s phone number for text messages, you have their consent.

A parent or guardian can ask you, or us, to correct or delete their child’s information. Please help us honor those requests.

5. AI-assisted drafts

TeamArc uses AI to help organize your notes and to draft things you may choose to share, such as updates, shout-outs, check-ins and summaries. AI drafts can be wrong, incomplete, or say more than you meant. A draft stays private to the team’s coaches until a coach chooses to share it. Once you share a draft, with or without edits, it is your message, and you are responsible for it as if you wrote it yourself. Read every draft before you share it.

6. Sharing with families and players

You decide what families and players see. A family member sees only what you share about their own player, plus the team schedule and announcements. Private family links and calendar links work like keys: anyone who has one can open what it shows. Share them only with the people they are meant for, and tell us if one has spread further than it should.

7. Acceptable use

Don’t use TeamArc to:

• harass, bully, embarrass or threaten anyone, or write about a child in a way you wouldn’t be comfortable with that child’s parent reading;
• market or sell to families or players, or send them messages that aren’t about the team;
• add information about people you have no coaching or team reason to track;
• break the law, or anyone else’s rights, including privacy rights;
• try to get into accounts, teams or information that aren’t yours, or share your sign-in with someone else;
• interfere with TeamArc, test its security without our written permission, overload it, or use automated tools to collect information from it; or
• copy, change, or reverse-engineer the app, except where the law allows it.

8. Your content

You (or your club) keep ownership of what you add to TeamArc. You give Semperity permission to store, copy, process and display it only as needed to run TeamArc for you, for your team, and for the families and players you share with, as described in the Privacy Policy. This includes sending it to the service providers listed there, such as the AI provider that prepares drafts.

A player’s record belongs to that player’s continuing story, so notes you wrote stay with the players’ records if you delete your account or leave the team. This permission continues for that content for as long as it stays in TeamArc.

If you send us feedback or ideas, we may use them to improve TeamArc without owing you anything.

9. Our app

Semperity owns the TeamArc app, website and name. We give you a personal, non-exclusive, non-transferable right to use TeamArc under these terms. We keep all other rights.

10. Fees

We don’t charge for TeamArc today. If we ever offer paid plans, we’ll tell you the price and terms before you’re asked to pay, and you won’t be charged unless you choose to buy. Families and players are never asked to pay.

11. Text messages

TeamArc does not send text messages today. If we turn them on, TeamArc team alerts will be urgent, time-sensitive notices (such as cancellations, weather delays, and schedule or field changes), sent only to parents and guardians who have agreed to receive them. Message frequency varies, typically 0–5 messages a month. Message and data rates may apply. Reply STOP to opt out, or HELP for help. Carriers aren’t responsible for delayed or undelivered messages.

12. Not for emergencies

TeamArc isn’t an emergency or safety system. Notifications and emails can be late or fail to arrive, and TeamArc may sometimes be unavailable. Don’t rely on it for anything urgent about a child’s health or safety; contact the family, the club, or emergency services directly.

13. Suspension and ending

You can stop using TeamArc at any time. A coach can delete their account in the app (Settings → Delete account). What happens to information after that is explained in the Privacy Policy.

We may suspend or close an account, or remove content, if we reasonably believe it breaks these terms, puts a child or anyone else at risk, or exposes Semperity or other users to legal harm, or if the law requires it. Where it’s safe and lawful, we’ll tell you why. We may also change or stop offering parts of TeamArc; if we stop offering TeamArc altogether, we’ll give coaches reasonable notice first.

Sections 4, 5, 8, and 14 through 20 continue to apply after your use ends.

14. Disclaimers

TeamArc is provided “as is” and “as available”. To the fullest extent the law allows, Semperity makes no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, and doesn’t promise that TeamArc will be uninterrupted, error-free, or that AI drafts will be accurate. TeamArc is a tool for remembering and sharing coaching observations; it does not assess a player’s ability or predict any outcome, such as selection, playing time or a scholarship.

15. Limit of liability

To the fullest extent the law allows: Semperity is not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, data or goodwill; and Semperity’s total liability for any claim about TeamArc is limited to the greater of the amount you paid us for TeamArc in the 12 months before the claim, or US $100. Some places don’t allow these limits, so they may not all apply to you. Nothing in these terms limits liability that can’t be limited by law.

16. Your responsibility to us

If you are a coach or team administrator and someone makes a claim against Semperity because of information you added or shared through TeamArc, or because you broke these terms or the law, you will cover Semperity’s reasonable losses and costs from that claim, to the extent the law allows. We’ll tell you promptly about any such claim.

17. If you got TeamArc from Apple’s App Store

These terms are between you and Semperity LLC, not Apple. Semperity, not Apple, is responsible for TeamArc and its content. Your right to use the app is limited to Apple-branded devices you own or control, as Apple’s App Store Terms allow. Apple has no duty to provide maintenance or support for TeamArc. If TeamArc fails to meet a warranty that applies to it, you may tell Apple, and Apple will refund any price you paid for the app (TeamArc is currently free); to the fullest extent the law allows, Apple has no other warranty obligation for it. Apple is not responsible for any claims about TeamArc, including product liability claims, claims that it fails to meet legal or regulatory requirements, consumer protection or privacy claims, or claims that it infringes someone else’s rights; Semperity handles those as these terms provide. You confirm that you are not located in a country subject to a U.S. government embargo or listed as a terrorist-supporting country, and are not on any U.S. government list of prohibited or restricted parties. You must also follow any third-party terms that apply when you use TeamArc, such as your mobile carrier’s. Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you.

18. Changes to these terms

We may update these terms. When we do, we’ll post the new version here with a new version date and keep earlier versions available. If a change matters, we’ll email coaches before it takes effect. If you keep using TeamArc after a change takes effect, the new terms apply; if you don’t agree, stop using TeamArc and, if you’re a coach, delete your account.

19. Governing law and disputes

These terms are governed by the laws of the State of Utah and applicable U.S. federal law, without regard to conflict-of-law rules. Before bringing a claim, please email us first so we can try to fix the problem. Any case about these terms or TeamArc will be brought only in the state or federal courts located in Utah, and you and Semperity agree to those courts’ jurisdiction; either of us may instead bring a claim in small-claims court where it qualifies. If you are a consumer, this doesn’t take away any right the law of the place you live gives you that can’t be waived by agreement.

20. General

These terms and the Privacy Policy are the whole agreement between you and Semperity about TeamArc. If part of these terms can’t be enforced, the rest still applies. If we don’t enforce a term right away, we haven’t given up the right to enforce it later. You may not transfer these terms to anyone else; we may transfer them to a business that takes over TeamArc, and we’ll tell coaches if we do. Neither of us is responsible for delays caused by events outside reasonable control.
